Job Description

The Legal Department has a number of key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary.  This includes obligations to regulatory bodies of legal entities, both domestic and international that regulate our business as well as to civil and criminal investigation authorities or adversarial counsel. Legal is organized by Practice Groups that conform to the organization of the Firm’s lines of business and corporate staff areas.  Each Practice Group has a General Counsel who is the Practice Group Head and who reports to the Firm’s General Counsel.  This structure provides the means for the Legal teams to communicate legal and regulatory changes to the businesses and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.
 
The Office of the Secretary (“OTS”) partners with senior management, control groups, lines of business and corporate units to promote effective governance of the Firm, its branches, subsidiaries and affiliates. It operates through a corporate team and three regional hubs, in New York City, EMEA and APAC. OTS also works closely with the Firm’s Board of Directors and is responsible for the coordination of Board meetings and materials.  OTS has responsibility for the Firm’s proxy statement as well as various other public filings and interfaces regularly with JPMC’s shareholders on governance matters.  In addition, members of the practice group are involved in various industry initiatives to consider best practices for the banking industry as a whole.   We are looking for a Vice President to be based in New York to serve as Assistant General Counsel within the Office of the Secretary.
 
 
  1. Providing legal advice on governance issues to the Board of Directors and senior management;
  2. Working with members of the OTS team, Investor Relations and other stakeholders on shareholder engagement, proxy proposals, and shareholder activism issues;
  3. Participating in the development and maintenance of best governance practices for the firm through research and engagement with industry groups and other regulatory and governance groups within and outside of the firm;
  4. Providing support on governance, supervision, regulatory reporting and information for legal entities with a primary focus on JPMC and Lead Bank.
  5. Staying up to date with changes to applicable laws affecting governance and reporting for legal entities.
  6. Enhancing the legal entity governance for all of the Firm’s legal entities globally.
    1. Drafting and reviewing documentation related to  SEC reporting for the Firm, including (i) the Proxy Statement (and related shareholder proposal process), (ii) Section 16 reporting, (iii) 8-K filings on matters such as governance and senior management transactions in JPMC stock,
    2. Working with the Firm’s transfer agent, proxy solicitor and related governance advisors.
    3. Participation in OTS Office of Legal Obligations initiative, including development of a change management system to track governance updates at the state and Federal level;
       
  7. The Office of the Secretary reports to the General Counsel.
Qualifications
  • Qualified lawyer with minimum 8 years’ experience with a top-tier law firm and/or in-house legal department at a large bank or financial services company.
  • A solid understanding of commercial and investment banking, and the application and impact of good governance.
  • A solid understanding of SEC reporting obligations and demonstrated experience in the area.
  • Highly organized with a focus on execution and an ability to prioritize multiple tasks appropriately.
  • Ability to assimilate and process large volumes of information.
  • Excellent drafting, communication and project management skills.
  • Ability to build and maintain positive and effective relationships at all levels internally and externally.
  • Ability to consistently deliver work of a high standard while under pressure.
  • Attention to detail.
  • Independent and self-motivated.
