We are looking to hire an attorney to work in the North America Lending/Credit Trading Group within Legal to provide advice to a business within the Corporate and Investment Bank on complex transactional matters involving finance, insolvency and restructuring.  Responsibilities include (i) advising and working with the business on evaluating the impact of bankruptcy and restructuring on corporate enterprises including how those matters relate to the purchase, sale and financing of bankruptcy claims and accounts receivable, as well as other claims against or interests relating to debtors in bankruptcy such as default related  puts, and other synthetic methods of obtaining exposure to the claims markets, (ii) structuring, negotiating and documenting such transactions in the U.S., Europe, Latin America, and Asia, including cross-border insolvency situations, (iii) advising on potential restructuring and reorganization situations with a view to the value of any instrument in that restructuring and reorganization proceeding including evaluation of the capital structure of obligors/debtors, claims, credit facilities, indentures, and intercreditor and subordination arrangements, and (iv) advising on regulatory and policy matters.
  • Law Degree/Juris Doctorate-required
  • At least [5] years in a law practice or corporate law department – required
  • Strong drafting and negotiating skills and business judgment
  • Strong background in advising on and documenting corporate finance and restructuring transactions, including experience with different types of receivables purchase transactions, secondary market trading of bankruptcy trade claims and synthetic methods of obtaining exposure to the claims market.
  • Experience with securities laws, derivatives, cross-border insolvency situations and major bank regulatory provisions such as Regulation W - preferable.
