Legal- Commercial Banking Paralegal III (Chicago)

Job Description

The successful candidate will work for the Commercial Banking Legal Department in Chicago, Illinois and provide support for Commercial Banking’s Bankruptcy and Loan Workout, Commercial Real Estate and Community Development Businesses segments.  The Bankruptcy and Loan Workout practice group handles commercial loan workouts and restructurings, non-judicial enforcement of remedies and bankruptcy cases for “Core” Commercial Banking business units, which includes all business units other than Commercial Term Lending. The Commercial Real Estate and Community Development Banking practice groups handle construction loans, community development loans, commercial term lending on multi-family properties, secured and unsecured loans for REITs and funds, loan syndications and sales, and certain federal and state tax credit finance, with a focus on regulatory matters.
You will work directly with and be supervised by Commercial Banking lawyers each supporting Bankruptcy and Loan Workout, Commercial Real Estate and Community Development Banking.  Your responsibilities will include:
  • Assisting in the maintenance and updating of forms used by each practice group
  • Assisting in Third Party Oversight tasks and processes in connection with the retention of law firms, including drafting engagement letters and processing invoices
  • Reviewing and drafting straightforward reservation of rights letters, waivers, consents, amendments, closing lists, forbearance agreements, and other related documentation
  • Reviewing and drafting confidentiality agreements
  • Assisting with legal entity governance
  • Providing other transactional and administrative support to Commercial Banking lawyers, which may include conflict waivers, sworn documents, data and new entity validation and matter log maintenance
  • Conducting research and coordinating circulation of internal and external policies, including the Outside Counsel Manual
Candidate should be a self starter who is organized and detail oriented.  Candidate should display a high level of initiative/motivation and be effective and clear when communicating with peers, other colleagues and clients.  Candidate should also be effective when interacting in group projects.  Prior experience/knowledge of loan workout, real estate, credit and/or lending issues would be a plus.
  • 4-year undergraduate degree (preferred); minimum of 2-year associates degree (required) and 3 to 5 years of experience in a law firm or in-house legal department; paralegal certificate would be a plus
  • Knowledge of credit documentation would be a plus
  • Excellent oral and written communication skills

  • Organized and able to handle multiple assignments and competing priorities
