The Legal Department has a number of key operations to meet our obligations to various regulatory oversight and investigative bodies as necessary.  This includes obligations to regulatory bodies of legal entities, both domestic and international that regulate our business as well as to civil and criminal investigation authorities or adversarial counsel. Legal is organized by Practice Groups that conform to the organization of the Firm’s lines of business and corporate staff areas.  Each Practice Group has a General Counsel who is the Practice Group Head and who reports to the Firm’s General Counsel.  This structure provides the means for the Legal teams to communicate legal and regulatory changes to the businesses and staff areas, and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.
 
The Office of the Secretary (“OTS”) partners with senior management, control groups, lines of business and corporate units to promote effective governance of the Firm, its branches, subsidiaries and affiliates. It operates through a corporate team and three regional hubs, in New York City, EMEA and APAC. OTS also works closely with the Firm’s Board of Directors and is responsible for the coordination of Board meetings and materials.  OTS has responsibility for the Firm’s proxy statement as well as various other public filings and interfaces regularly with JPMC’s shareholders on governance matters.  In addition, members of the practice group are involved in various industry initiatives to consider best practices for the banking industry as a whole.   
 
Job Description:
In this challenging role, JPMorgan Chase Bank is seeking an attorney to lead the Legal Entity Management Team of the Americas.  The role supports all matters relating to subsidiary corporate governance legal requirements and processes in the Americas.  The candidate will oversee a team of attorneys and paralegals.
The responsibilities will include:
  • Managing the Firm’s subsidiary legal entities from a corporate secretary and governance perspective, including subsidiary board meetings, as well as drafting materials for Board meetings including agendas, resolutions, consents, executive summaries and minutes;
  • Representing the Corporate Secretary and corporate legal perspective when collaborating with non-Legal executives on firm-wide processes for legal entities including the acquisition of ownership interests, formation of new entities, changes  to legal entities both on the ordinary course of business and in special circumstances, and in deposition of legal entities through dissolution, merger, sale or liquidation.
  • Overseeing the formation of new entities, rationalization of legal entities through merger or dissolution, conversions of existing entities with the ability to provide strategic solutions and recommendations on the execution of legal entity changes;
  • Managing the Firm’s process around signing authorities for legal entities, including the appointment of officers, issuing delegations of authority, powers of attorney or other means to obtain signing authority, and the issuance of incumbency certificates;
  • Playing a key role in other Firmwide, cross-functional governance initiatives focused on legal entity management including management committees on legal entity policies and processes; KYC initiatives; Regulation W, etc.;
  • Performing corporate governance legal research and analysis of state and federal corporate laws, drafting memoranda, and providing legal counsel to directors, officers and business contacts;
  • Providing legal support to the team performing structure reporting to the Federal Reserve on FRY 6/10 filings;
  • Ensuring compliance with relevant regulatory requirements, such as making subsidiary corporate filings with Secretaries of State including annual reports, qualifications, etc.

Required Experience:
  • 12+ years of legal experience, with strong working knowledge of managing legal entities, corporate governance requirements and best practices.
  • Banking or regulatory experience is highly desired.
  • Familiarity with legal entity database tools such as the Global Entity Management System (GEMS) desired but not mandatory.
  • JD required.
  • Bar qualification in the United States.
