Job Description

Background:

 

  • JPMorgan Chase Bank (“JPMCB”) has established a Global Service Centre in Mumbai in 2002, Bangalore in 2005 and Hyderabad India, in 2011 (the “GSC”) to provide support functions, processes and other related services to various Lines of Business and Corporate Groups globally.  These services include Corporate & Investment Bank Operations, Consumer & Community Banking, Treasury Services, Finance, Equity Research, Credit Analysis etc.  As a result of the successful growth of the GSC with over 25,000 employees, India is now the largest JPMCB location outside the US.

 

 Job Description:

 

  • Provide legal services to various JPMCB entities in India entering into technology and non-technology related contracts (e.g. outsourcing, offshore application development, software licensing, human resources, general procurement etc.).
  • To draft and review Inter-Affiliate Agreements between the Receptor (the entity receiving the Services e.g. the GSC) and the Donor (the entity offshoring the Services) in the form of Master Service Agreements/Schedules, etc. as the Services provided by the GSC are the subject of inter-company contracts.
  • To provide local legal advice with respect to specifics in employment, contract, tax, privacy and other laws related to offshoring.
  • To provide advice on regulatory matters pertaining to DOT, STPI etc.
  • To provide assistance to the Company Secretary.
  • To manage litigation matters for the GSC in India and liaise with External Counsels.
  • Reporting to Head of Legal – India Global Service Center.

 

To include:

 

  • Draft & maintain global & regional precedent library in accordance with JPMCB corporate policy and applicable law.
  • Provide adhoc advice to internal clients on all regulatory issues, contract matters and other related queries including employment, contract, criminal and tax issues.
  • Keep abreast of changes to applicable local laws and JPMCB corporate policy.
  • Mitigate and reduce exposure to JPMCB by ensuring legal processes, work practices and policies are appropriate in current operating environment.

 

Qualifications & Skills Required:

 

  • 10 years + legal experience in banking/financial institution, international business process outsourcing outfit in India, captive offshoring center or top tier legal firm.
  • Broad corporate commercial and banking legal experience will be an advantage.
  • Company Secretary qualified will be an advantage.
  • Excellent drafting skills.
  • Strong analytical and communication skills.
  • Independent and self-motivated.
  • Able to prioritize and able to work under tight deadlines.
  • Able to demonstrate and provide commitment for a long term career at JPMCB.
