The J.P. Morgan Legal Department seeks a lawyer with a background in structured products for the Private Bank Legal Group in EMEA.  The role will be based in the London office in Knightsbridge and is an exciting and varied opportunity to provide specialist structured products coverage to J.P. Morgan Private Bank across the region but also with exposure to general regulatory matters. The successful candidate will be part of an international legal team and work with colleagues across Europe, the United States and Asia.
 
You will join a well-established, high calibre and supportive team of nine lawyers across London and Paris. Working with other members of the legal team, the business and support functions, you will manage legal issues that arise in connection with the structured products business, including the sale and distribution of equity-linked, FX-linked, commodity-linked and fixed income-linked structured products to clients who are both professional and retail.   The successful candidate will also help manage the relationship of the Private Bank with its counterparties across the Private Bank’s structured products range.  The candidate will be a team player, commercially aware and attuned to the needs of a global business, be able to take the initiative and have a collaborative approach to the provision of legal support. 
 
Key Responsibilities
  • Engage in daily interaction with the J.P. Morgan structuring team and provide general legal advice on the sale and distribution of structured products, keeping up to date with new legal and regulatory initiatives affecting the product area;
  • Review, negotiate, and draft distribution agreements, programme documentation and termsheet templates;
  • Provide legal advice in relation to regulation such as the Prospectus Directive, PRIIPs and MiFID II;
  • Advise on the development of policies, procedures and controls for the existing structured products business, new business initiatives and new products, and the Private Bank generally;
  • Coordinate with, instruct and support J.P. Morgan’s external legal advisers;
  • Provide legal support to project teams dealing with new regulation, new products and infrastructure; and
  • Work closely with colleagues in different locations in EMEA and other regions, both business representatives and control functions such as Compliance and Risk Management, where required.
Qualifications, skills and experience
  • First class drafting and negotiation skills;
  • Good understanding of/expertise in structured products; 
  • In addition to structured products expertise, familiarity with derivatives, equity capital markets and debt capital markets is desirable but not essential;  
  • Familiarity with EU laws and the UK regulatory regime applicable to structured products;
  • Ability to develop strong relationships with the business and fellow legal and support professionals;
  • Business aware, proactive, and able to provide practical advice and solutions to meet business needs;
  • Excellent judgment and decision-making skills;
  • The ability to prioritise and manage projects effectively; and
  • Ideally, experience gained within a top law firm and/or in the legal department of a top tier financial institution.
