Vice President, Assistant General Counsel, Asset Management Lawyer, Hong Kong/Shanghai

J.P. Morgan Asset Management (JPMAM) is seeking candidates for a mid-level lawyer position in its APAC Investment Management legal team. The position will be based in China (Shanghai) or Hong Kong to provide a broad range of legal support and coverage primarily focusing on the development of JPMAM’s onshore business in China. Key responsibilities include: 
  • Advising business clients on legal and regulatory issues relating to permissible onshore activities by foreign asset managers, assisting with the development, structuring and maintenance of investment products and strategies across all asset classes targeting PRC clients and all other day-to-day activities of the onshore business.
  • Drafting, reviewing and negotiating commercial agreements and documentation to support JPMAM’s business operation in China, including constitutive fund documentation, investment management agreement, distribution agreement, third party vendor agreement and other agreements in connection with fund offering, investment and distribution.
  • Liaising with Chinese regulatory authorities, internal and external advisors and other internal control groups on legal and regulatory related matters.
  • Participating in global and/or regional legal, compliance and risk initiatives and projects; partnering with other control functions to develop and implement control framework, roll out firm wide initiatives pertaining to JPMAM in China and ensure global best practice and consistency wherever appropriate.  
  • Tracking legal and regulatory changes and working with Compliance on regulatory related matters.
  • Providing pro-active advice to the business on meeting legal and regulatory requirements.
  • PRC qualified lawyers with at least 5+ year post-qualification-experience in a leading law firm or financial institution in PRC or Hong Kong.
  • Good understanding of legal and regulatory knowledge of PRC asset management industry and investment products for retail and/or institutional markets.
  • Strong inter-personal skills and great team player. Ability to work under pressure and independently.
  • Strong analytical and problem solving skills.
  • English and Chinese (Mandarin) spoken and written language skills are essential. Ability to draft and review agreements in both English and Chinese is a must.
