Corporate & Investment Bank - Legal - Collateral Management Lawyer - Vice President - London

Job Description

We are looking for a highly motivated banking lawyer with the ability to work on a semi-supervised basis to support the collateral management business in the Corporate and Investment Bank in EMEA. The role is within the Legal Department in London and involves working closely with the business representatives and with other corporate functions, globally. The successful candidate will work in partnership with compliance officers, risk management, sales, product managers, and other infrastructure groups supporting the securities clearing and collateral management businesses throughout Europe, the Middle East, and Africa and will be expected to establish links with peer groups supporting these businesses in the US and in Asia Pacific.

Role involves:
  • Technical drafting of various collateral management agreements and related documentation.
  • Negotiating all agreements relevant for the business with a variety of types of clients such as pension plans, corporates, mutual funds, UCITS and other funds financial institutions including collateral management agreements, clearance agreements, confidentiality agreements, margin control agreements, and other ancillary documentation.
  • Advising the collateral management business on a wide range of issues affecting the business and their clients.
  • Dealing with daily enquiries from the sales, product development, and risk management teams, including issues relating to collateral confidence and enforceability of security interests.
  • Attendance at internal and external meetings, e.g. product development meetings, business control meetings, document negotiations with clients and/or their internal and external legal counsel.
  • Instructing and liaising with external counsel, as required, including review and analysis of legal opinions.
  • Advising the business on key legal/regulatory issues.
  • Coordinating closely with colleagues in the US and Asia on documentation and related legal issues affecting the business.
  • Liaising with business representatives and legal and compliance colleagues and other control functions e.g. credit, risk, tax, in the EMEA region and globally.
  • Assistance with the development of policies, procedures and controls.

Skills and Experience:
  • Some background in providing legal services to businesses that are operationally intensive and prior interaction with other providers of agency services (e.g. CSDs, Clearing Houses) is preferred but not essential.
  • Qualified lawyer
  • Good experience within a Legal Department of a premier financial institution or in private practice (preferably with in-house experience).
  • A background in collateral management, or custody, or securities lending/repo is preferred but not required.
  • Excellent written and oral communication skills and negotiating skills.
